What we check in your NDA
Scope of confidentiality
Is the definition of "confidential information" so broad it covers things you already know or that are public?
Duration
How long does the obligation last — and does it survive termination of the relationship?
Mutual vs one-sided
Is the NDA mutual or does only one party have obligations? One-sided NDAs favour the drafter.
Carve-outs
Are standard exceptions included — publicly known information, independently developed, required by law?
Remedies & penalties
What happens if you breach it? Are the remedies proportionate or unreasonably severe?
Governing law
Which country's law governs the agreement — and is that favourable to you?
Common questions
Do I need to read an NDA before signing?
Yes. NDAs can restrict you from discussing your work, your clients, or even the fact that the agreement exists. The scope varies enormously from one NDA to the next.
Can an NDA be too broad to be enforceable?
Sometimes — courts in many jurisdictions will not enforce unreasonably broad confidentiality clauses. LeaseRead flags clauses that may have enforceability issues, though you should consult a lawyer to confirm.
What is the difference between a mutual and one-way NDA?
A mutual NDA protects both parties. A one-way NDA only protects one party — usually the person who drafted it. We flag which type yours is and whether that is appropriate for the situation.
How long does the NDA review take?
Under 30 seconds. Upload the PDF, pay once, and your report is ready immediately.
